Introduction

The Government of India has prescribed a number of documents that need to be submitted along with the Annual Return in MGT-9. Some of these are mandatory while some are optional. In this article, we will take you through all the required documents for Secretarial Audits and also highlight those which can be submitted in case you feel it necessary.

Audited Financial Statements

The audited financial statements must be in accordance with the Accounting Standards and be prepared by a Chartered Accountant.

Original MGT-14

  • MGT-14: A duplicate of the original MGT-14 form, in the name of your company, should be submitted by you with your CPA and auditor’s signatures on it. This is to ensure that there are no discrepancies between what was filed with the SEC and what is being audited for financial statement purposes; this will help avoid any problems later down the line when reconciling these two documents.
  • Letter of Intent: If a letter was sent from an auditor to another party regarding an audit engagement prior to beginning work on it (for example, a new client requesting an audit), then that letter should be provided as proof of intent from both parties involved (you as client or potential client). The purpose behind this is so that CPAs have some extra time for planning out their audit approach before starting work; this way there aren’t any surprises along the way!

The Minutes of the Meetings of Board and Audit Committee should be signed by all members present at the meeting. The same should be submitted to the members within 30 days from date of signing by Board Members or Secretarial Audit Committee Members.

Copies of notices to members of Annual General Meeting

The auditors should also be provided with copies of all notices to all members of the Annual General Meeting. These notices should contain the agenda of the meeting, and also state that it is being held in compliance with the provisions of law.

Copies of annual return in form MGT-9.

You will be required to submit a copy of your annual return in the form MGT-9. The MGT-9 is a declaration of compliance with the provisions of Companies Act, 2013. It is to be filed by every company where the total paid up capital is less than Rs. 25 crores.
